Job Purpose

  • The Senior Manager M&A plays a central role within Modon's Investment team, taking a leadership position in the origination, execution, and closing of strategic M&A transactions.
  • The role combines analytical rigor with commercial judgment: owning the full suite of infrastructure valuation methodologies, pressure testing financial models, and translating complex dynamics into strategic narratives.

Transaction Strategy

  • Develop bespoke, high quality content for strategic M&A transactions including sector perspectives, deal rationale narratives, and process positioning materials.
  • Engage daily with senior internal leadership, sellers, investors, lenders and advisors' teams to drive live transaction execution.
  • Translate complex commercial and financial dynamics into clear, compelling strategic narratives.
  • Contribute to Modon's broader corporate development agenda, identifying inorganic growth opportunities.

Valuation & Financial Analysis

  • Define, guide, and own the full suite of valuation methodologies applicable to infrastructure M&A, including DCF, trading comparables, transaction comparables, LBO, and DDM analyses.
  • Lead combination analyses, synergy assessments, accretion/dilution modelling, and pro forma capital structure analysis.
  • Ensure analytical outputs meet institutional standards of rigor.
  • Challenge and pressure test financial models produced by analysts and advisors.

M&A Process Design & Execution

  • Take a leadership role in M&A strategy and transactions — including origination and acquisition strategy, transaction timeline management, due diligence execution, valuation, internal presentations and approvals.
  • Manage end to end transaction coordinating across internal teams and external advisors.
  • Develop comprehensive transaction materials, including investment teasers, information memoranda, management presentations, business plans, and performance analyses.
  • Oversee data room management and ensure process integrity.

Negotiation & Documentation

  • Serve as a member of the deal team in negotiations with counterparties, co investors, and financing parties.
  • Assist deal team leaders and transaction counsel in the preparation, review, and negotiation of deal documentation, including SPAs, SHA/JVAs, asset purchase agreements, and ancillary transaction documents.
  • Coordinate with legal, tax, and financial advisors to resolve structuring issues, manage conditions precedent, and drive transactions to a timely close.
  • Maintain discipline over deal economics and term sheet positions throughout negotiation.

Qualifications

  • Bachelor’s degree in Finance, Financial Engineering, Business Administration, Economics, or a related field.
  • Professional qualifications CFA or equivalent.

Experience

  • 12+ years of experience (Senior Manager) in M&A and investments.
  • Proven track record in PPP structuring and deal execution across transportation and social infrastructure; exposure to energy projects is a plus.
  • Familiarity with investments in infrastructure, green finance, sustainable funding, and carbon credit mechanisms is a strong plus.
