About the Role
Modon seeks a Legal Manager to provide legal advisory on real estate transactions, corporate structuring, M&A, and compliance. The role requires 7-10 years of post-qualification experience, including 4 years in the GCC, with expertise in UAE real estate law and contract negotiation.

Responsibilities
- Conduct in depth legal assessments of real estate project launches, investment sales, joint ventures, and REIT structuring.
- Provide legal execution support for property sale and purchase agreements, land acquisitions, leasehold portfolios, strata titling, and development rights.
- Work under the direction of the General Counsel to ensure real estate regulatory compliance (DMT, ADM, RERA, ADGM, etc.).
- Participate in legal structuring of SPVs, partnerships, trusts, and JV entities as part of large scale projects and investment platforms.
- Support due diligence, shareholder agreements, option agreements, and legal implementation for infrastructure development and investment projects.
- Draft, review, and negotiate complex legal agreements including development agreements, FM contracts, MOUs, NDAs, concession agreements, operation/maintenance contracts, and broker/agent contracts.
- Ensure harmonization of standard templates across business lines and advise on contract enforcement and termination pathways.
- Assist with the design and execution of group level legal governance frameworks, with a focus on UAE civil/commercial codes, land laws, and property ownership legislation.
- Conduct compliance assessments for licensing, permits, and approvals across government entities and free zone authorities.
- Manage litigation coordination with external counsel on disputes arising from contracts, tenancy laws, contractor claims, and development breaches.
- Support internal departments under the General Counsel’s direction to ensure alignment between legal positions and business needs.
- Support legal operations such as panel counsel management, KPI tracking, and legal service performance.
Requirements
- Bachelor's degree in law (LLB) from an accredited university
- Legal practicing certificate/license registration in UAE or equivalent
- Membership in a recognized bar association is preferred
- 7 10 years of post qualification legal practice, including a minimum of 4 years within the GCC region
- Demonstrated expertise in UAE Civil Code, Commercial Companies Law, Real Estate and Tenancy regulations, and relevant free zone frameworks
- In depth understanding of UAE land registration, ownership transfer, strata structure, and real estate development law
- Strong capabilities in legal drafting, deal structuring, and contract negotiation in both English and Arabic
- Commercially astute with a strategic mindset and knowledge of investment structures
- High integrity, capable of managing confidential information with discretion
- Exceptionally well organized, detail oriented, and able to thrive in high pressure, fast paced environments
- Excellent interpersonal, written, and verbal communication skills

- Participate in legal structuring of SPVs, partnerships, trusts, and JV entities as part of large scale projects and investment platforms.

- Partner with investment and development teams to assess legal investment feasibility and legacy transaction risks.
- Draft, review, and negotiate complex legal agreements including development agreements, FM contracts, MOUs, NDAs, concession agreements, operation/maintenance contracts, and broker/agent contracts.
- Ensure harmonization of standard templates across business lines and advise on contract enforcement and termination pathways.
- Translate commercial negotiations into watertight legal documents, tailored to UAE and GCC jurisdictions.
- Assist with the design and execution of group level legal governance frameworks, with a focus on UAE civil/commercial codes, land laws, and property ownership legislation.
- Conduct compliance assessments for licensing, permits, and approvals across government entities and free zone authorities.
- Maintain an internal legal compliance tracker and risk matrix for effective oversight and risk visibility.
Qualification
- Bachelor's degree in law (LLB) from an accredited university.
- Legal practicing certificate/license registration in UAE or equivalent.
- Membership in a recognized bar association is preferred.
Experience and Competencies
- 7 10 years of post qualification legal practice, including a minimum of 4 years within the GCC region, ideally in real estate, infrastructure development, or investment sector.
- Demonstrated expertise in UAE Civil Code, Commercial Companies Law, Real Estate and Tenancy regulations, and relevant free zone frameworks such as DIFC and ADGM.
- In depth understanding of UAE land registration, ownership transfer, strata structure, and real estate development law.
- Strong capabilities in legal drafting, deal structuring, and contract negotiation in both English and Arabic (Arabic language proficiency is a plus).
- Commercially astute with a strategic mindset and knowledge of investment structures driving real estate and infrastructure projects.
- High integrity, capable of managing confidential information with discretion and professionalism, and maintaining sound legal judgment.
- Exceptionally well organized, detail oriented, and able to thrive in high pressure, fast paced, and transaction intensive environments.
- Excellent interpersonal, written, and verbal communication skills, with the ability to collaborate across departments and influence outcomes constructively.
