Job Description

  • As a Corporate Counsel, you will work on company secretarial and compliance matters across MEA, handle legal aspects of entity set ups and restructurings, and develop corporate policies.
  • You will support a cross functional team on corporate transactions and day to day matters.

Specific Responsibilities

  • Corporate Governance: Manage company secretarial compliance across many of Oracle’s subsidiaries, branches, and representative offices in MEA.
  • Assist extensively with formation of new subsidiaries and branch offices, and dissolution of entities. Draft documentation and filings, maintain corporate records.
  • Manage corporate delegations and work with groups to ensure delegations are up to date.
  • Liaise with external service providers, including law firms.
  • May be requested to be a member of the board of directors and/or act as Company Secretary for subsidiaries in MEA.
  • M&A Integration: Assist in giving effect to acquired entity integrations and corporate group restructurings in MEA, including drafting documentation and consulting with stakeholders.
  • Process and Policies: Work with other groups to develop, implement, and ensure compliance with corporate policies.

Requirements

  • Minimum of 4 years of relevant experience at a top law firm or in house legal department.
  • Business fluency in English and Arabic in speaking and writing.
  • Experience with corporate governance, particularly establishment and dissolution of legal entities, merger, business and trade license requirements, drafting and execution of corporate approval documentation, and ongoing compliance across MEA.
  • Experience working with company regulatory authorities in MEA.
  • Strong academic credentials and proven track record working within a high performing corporate team.
  • Strong corporate background, including solid drafting skills.
  • Robust personality with high levels of energy, drive and self motivation.
  • Adaptable and commercially minded team player with collegial personality and instinctively good judgment.

Responsibilities (General)

  • Responsible for providing legal advice to the organization.
  • Close liaison to business in providing corporate and commercial legal services.
  • May perform litigation or coordinate litigation handled by outside counsel.
  • May draft, review, and negotiate major and/or non standard technology contracts.
  • May advise on legal issues involving government and regulatory compliance.
  • Responds to ad hoc queries to identify, analyze, and evaluate risks.
  • Works closely with other lawyers and coordinates legal matters handled by outside lawyers.
  • Demonstrates deep general commercial or functional knowledge across sub disciplines.
