- Analyze and assess all forms of contractual documents including NDAs, MoU, letters of award, letters of intent, subcontracts, warranties, guarantees, parent company guarantees, collateral warranties, and all conditions of contract requirements for bid submissions
- Collaborate with stakeholders including Business Development, Bid Proposals, SCM, Legal, Finance and Tax, and Project teams to identify risks and opportunities in contract terms
- Support negotiations and contracts drafting with clients to establish favorable contract terms and conditions
- Prepare and manage Contract clarifications aligned with Company Policy and Procedures
- Develop negotiation strategies to maximize value while minimizing risks
- Provide feedback and analysis for continuous development of Contracting standards, templates and the Gold and Silver Contracting Rules
- Support subcontracting processes including drafting, negotiation, execution and dispute resolution
- Provide guidance to project teams on contract variations, warranties and disputes during execution
- Identify and mitigate contractual risks throughout the project lifecycle
- Mentor subordinates and the wider Contracts team, fostering professional development
Requirements
- At least 10 years’ experience in the Construction Industry with a minimum of 6 years’ experience in the Oil and Gas sector
- Sound knowledge of contracts and related legal principles
- Post Graduate Qualification in a relevant Discipline
- Degree / Professional qualification in a relevant discipline

Overall Purpose of Role

Primary Responsibilities, Authorities & Accountabilities
- Analyze and assess all forms of contractual documents, including, NDAs, MoU, letters of award, letters of intent, subcontracts, warranties, guarantees, parent company guarantees, collateral warranties, and all conditions of contract requirements for bid submissions.
- Collaborate with all stakeholders, including Business Development, Bid Proposals, SCM, Legal, Finance and Tax, and Project teams incl HSES and Quality to identify risks and opportunities in contract terms and associated exhibits, preparing contracts terms in the best interest of business and in comp
- Support negotiations and contracts drafting with clients to establish favorable contract terms and conditions in alignment with Contract policy and procedures, including the Lamprell Gold and Silver Contract Standards.
- Prepare and manage Contract clarifications aligned with Company Policy and Procedures and best industry practice.
- Develop negotiation strategies to maximize value while minimizing risks aligning to the Company’s risk management strategy and policy.
- Provide feedback and analysis in respect of continuous development and best practice for the maintenance of Contracting standards, templates and the Gold and Silver Contracting Rules in conjunction with the Director – Contracts management, the General Counsel and other C Suite leadership.
- Support subcontracting and processes, including drafting, negotiation, execution and dispute resolution.
- Provide guidance where required to project teams on contract variations, warranties and disputes during execution.
- Identify and mitigate contractual risks throughout the effective project lifecycle management. Develop and implement policies and procedures for effective contract management.
- Support the Company’s Risk Management functions on all contracting matters as may be required.
- Mentor subordinates and the wider Contracts team, fostering professional development in respect of pre contracting activities.
- Collaborate with cross functional teams to ensure alignment on contract negotiation, drafting, execution and contract strategies.
Role Specific Competencies
- Knowledge of Contract Management, Commercial Management, Risk Management, Project Management, Construction Management.
- Skilled in: Strong knowledge of EPCI contracts and industry standards; Drafting contract terms and conditions; Excellent negotiation, communication and presentation skills; Creative problem solving skills; Managing a cohesive and motivated team; well developed presentation skills.
- Management Skills: Excellent communication skills.
- Experience: At least 10 years’ experience in the Construction Industry with a minimum of 6 years’ experience in the Oil and Gas sector; Sound knowledge of contracts and related legal principles.
- Education: Post Graduate Qualification in a relevant Discipline; Degree / Professional qualification in a relevant discipline.
General
- Ensure Lamprell’s (including its affiliates) commercial and legal interests are protected across all contractual engagements.
- Promote communication and the timely flow of information between departments to improve the execution of tenders and projects.
- Undertake tasks related to contract management as may be required by the Director – Contracts Management, General Counsel & Company Secretary, other member(s) of the Executive Management, from time to time.
- Support the Project team with tasks as may be required from time to time.
- Ensure compliance with Health, Safety, Environmental & Security (HSES) responsibilities.
- Provide input to / review contractual project correspondence as required.
- Liaise with SCM and project teams to provide support where required such that all justified changes are claimed and agreed with the vendor and Client in a timely manner.
- Maintain a relationship with client representatives to ensure any problems or concern from a client’s perspective are identified and resolved.
- Ensure compliance with Information Security policies and procedures as applicable.
