- Draft, review, and negotiate commercial agreements including MSAs, framework agreements, services, SaaS, licensing, distribution, and supply contracts
- Advise on corporate and governance matters, restructurings, and day to day in house legal support
- Support transactions, projects, and strategic initiatives in collaboration with business teams
- Identify and manage legal risk, flag issues early, and deliver pragmatic, commercially minded solutions
Requirements
- Admission in a common law or other internationally recognised jurisdiction
- Minimum 5+ years' PQE
- Background spanning both private practice and in house
- Fluency in both English and Arabic
- Adaptability, pragmatism, and ability to work independently and collaboratively

Role Overview
- As a consultant at RAYNE, you will be embedded directly within client organisations, functioning as a genuine extension of their in house legal teams.
- Secondments vary in length, sector, and legal discipline.
- We are looking for lawyers based in Abu Dhabi who are fluent in Arabic and bring strong experience in commercial contracts and corporate matters.
What you'll be doing
- Drafting, reviewing, and negotiating a broad range of commercial agreements including MSAs, framework agreements, services, SaaS, licensing, distribution, and supply contracts
- Advising on corporate and governance matters, restructurings, and day to day in house legal support
- Supporting transactions, projects, and strategic initiatives in close collaboration with business teams
- Identifying and managing legal risk, flagging issues early, and delivering pragmatic, commercially minded solutions
- Operating with confidence and agility in fast paced, in house environments
What we're looking for
- Admission in a common law or other internationally recognised jurisdiction
- A minimum of 5+ years' PQE, though this is flexible depending on experience and the secondment
- A background that spans both private practice and in house
- Adaptability, pragmatism, and the ability to work independently as well as collaboratively
- A true consultant mindset, someone who genuinely enjoys partnering with the business
- Fluency in both English and Arabic is essential
