About the Role
AD Ports Group seeks an Expert in Transaction Execution & CP Management to orchestrate multi-disciplinary transaction execution across legal, finance, BD/M&A, and operations. Responsibilities
- Own and manage the transaction execution plan for assigned post Gate 3 IO transactions, including CP register, responsibility matrix, critical path, governance cadence, dependency map, decision log, issue log, approval tracker and reporting pack
- Lead CP execution and closure across legal, finance, tax, funding, commercial, operational, technical, HR, regulatory, government/stakeholder, procurement, asset delivery and partner workstreams
- Translate signed transaction documents into actionable obligations, milestones, owners, deliverables and evidence requirements
- Establish and run transaction execution working groups and CP taskforces
- Maintain a real time CP and transaction close dashboard covering progress, slippage, blockers, risks, critical path movements, decision requirements, documentation status and readiness for close/handover
- Drive timely decisions and issue resolution by escalating material risks, delays, commercial deviations, partner dependencies and approval bottlenecks
- Coordinate with Legal, Finance, Treasury, Tax, Operations, Engineering, Procurement and other teams to ensure alignment
- Ensure project governance gates, transaction conclusion requirements and handover documentation are complete and auditable
- Capture lessons learned and standard CP timelines to improve future BD structuring
Requirements
- Bachelor's degree in Business Administration, Finance, Economics, Law, Engineering, Project Management, Logistics, Maritime Studies or related discipline
- Minimum 10 12+ years of progressive experience across transaction execution, project/program management, consulting, corporate development, M&A/JV execution, PMO or portfolio management
- At least 5 years managing complex multi workstream transactions, closing conditions or post signing execution
- Fluent in English (written and spoken)

Job Description
- The role orchestrates multi disciplinary transaction execution across Legal, Finance, BD/M&A, Engineering, Procurement, HR, Operations, Regional CEOs, Project Directors, partners and external advisors.
- Ensures CPs, obligations, approvals, risks, dependencies, reporting, escalations and evidence of completion are actively managed.
Core Responsibilities
- Own and manage the transaction execution plan for assigned post Gate 3 IO transactions.
- Lead CP execution and closure across multiple workstreams.
- Translate signed transaction documents into actionable obligations.
- Establish and run transaction execution working groups and CP taskforces.
- Maintain a real time CP and transaction close dashboard.
- Drive timely decisions and issue resolution.
- Coordinate with Legal, Finance, Treasury, Tax, Operations, Engineering, Procurement and other teams.

People Management Responsibilities
- Lead, guide and develop Transaction Execution Specialist(s), Coordinator(s) and assigned project resources.
- Mobilize and coordinate cross functional CP taskforces through influence and structured governance.
- Set clear deliverables, deadlines, escalation protocols and quality standards.
- Build transaction execution capability within the PPMO by developing templates, playbooks, etc.
- Promote a high performance, collaborative and commercially aware culture.
Strategic Responsibilities
- Provide execution feasibility, CP timeline, risk, dependency and implementation readiness input to BD/M&A.
- Strengthen the bridge between Business Development and Operations.
- Contribute to portfolio level visibility by identifying recurring transaction execution risks.
- Recommend improvements to transaction close governance, CP standardization, etc.
- Support IO leadership in protecting strategic value, timing discipline, governance compliance.
Educational and Technical Qualifications
- Bachelor's degree in Business Administration, Finance, Economics, Law, Engineering, Project Management, Logistics, Maritime Studies or related discipline.
- Master's degree/MBA preferred.
- Professional certification in Project Management (PMP, PRINCE2, PgMP or equivalent) highly desirable.
- Additional exposure in transaction advisory, M&A, infrastructure/PPP, corporate finance, risk management or legal project management is an advantage.
Language Skills
- Fluent in English (written and spoken).
- Arabic is highly advantageous; additional international market languages are an advantage.
Years of Experience
- Minimum of 10–12+ years of progressive experience across transaction execution, project/program management, consulting, corporate development, infrastructure investments, M&A/JV execution, PMO or portfolio management.
- Preferred 10–12 years with at least 5 years managing complex multi workstream transactions.
Nature of Experience
- Demonstrated experience managing transaction conclusion, CP satisfaction, post signing execution, financial/contractual close and handover.
- Strong understanding of transaction structures such as acquisitions, joint ventures, concessions, PPPs, etc.
- Experience coordinating legal, finance, tax, treasury, operations, engineering, procurement, HR, regulatory and external advisor workstreams.
- Consulting, Big 4, transaction advisory, infrastructure advisory, corporate finance, in house M&A or strategic PMO experience strongly preferred.
- Good commercial and contractual literacy.
- Experience in ports, maritime, logistics, infrastructure, transport, industrial zones, terminals or asset heavy international projects highly desirable.
- Proven capability to prepare executive level dashboards, CP trackers, decision logs, risk registers, etc.
- Strong stakeholder management skills.
- High analytical judgement, problem solving ability and decision discipline.
- Cultural sensitivity, resilience, discretion and adaptability.
