Job Purpose
Manage the design, implementation, and ongoing management of SOPC’s institutional governance frameworks to ensure clarity of authority, policy consistency, and effective decision-making across the organization. The role is responsible for maintaining governance structures, overseeing the policy lifecycle, and enabling consistent application of governance standards across SOPC. The Senior Manager will act as the owner of the institutional governance frameworks, ensuring clear decision rights, alignment with SOPC’s risk appetite, and embedding governance standards across all functions and internal committees, including governance of interdependencies with federations, while enabling effective oversight and accountability through structured governance practices.
Institutional Governance Frameworks
- Develop, maintain, and continuously enhance SOPC’s governance frameworks, including delegation of authority, decision-making models, and institutional governance structures.
- Define and maintain clear decision rights, delegation of authority (DoA), and governance structures, ensuring alignment with organizational hierarchy, accountability principles, and risk appetite
- Ensure governance frameworks are clearly documented, communicated, and applied consistently across SOPC functions and committees.
- Provide guidance to functions on governance requirements to support accountability, transparency, and effective organizational control.
Policy Lifecycle Management
- Manage the end-to-end corporate policy lifecycle, including development standards, review cycles, approvals, publication, and version control.
- Coordinate with SOPC functions to ensure policies and procedures align with governance frameworks, regulatory requirements, and organizational objectives.
- Monitor adherence to approved policies and identify gaps, inconsistencies, or deviations requiring corrective action.
Governance Implementation & Oversight
- Monitor the application of governance frameworks across SOPC and provide structured feedback to management on areas of non-compliance or improvement.
- Establish governance assurance mechanisms to assess the effectiveness of governance frameworks, including periodic maturity assessments and the identification of structural or control gaps.
- Support the rollout of governance initiatives and framework updates, ensuring effective adoption and embedding across functions.
- Contribute to governance maturity assessments and improvement plans to strengthen SOPC’s institutional governance practices.
Committees & Decision-Making Support
- Support SOPC leadership and decision-making forums by preparing governance inputs, documentation, and recommendations.
- Evaluate the effectiveness of committees and the decision-making forums through structured assessments, ensuring clarity of mandates, quality of decisions, and alignment with governance principles.
Coordination & Continuous Improvement
- Coordinate with Risk & Continuity, Compliance & Regulatory Affairs, Internal Audit, and Legal Affairs to ensure governance frameworks support integrated assurance and control.
- Maintain governance documentation, templates, and standards to support consistent application across SOPC.
