About the Role
See & Recruit is seeking a Legal Representative to support the company in all legal, corporate, and regulatory matters, including drafting and reviewing legal documents, advising management on compliance, and ensuring adherence to UAE laws and real estate regulations.

Responsibilities
- Draft, review, and negotiate legal documents including Joint Venture agreements, Term sheets, Sales & Purchase Agreements, Loan Agreements, Shareholder Agreements, MOA, AOA, Share Transfer Agreements, Share Pledge Agreements
- Manage and advise on company incorporation processes for UAE mainland and free zones
- Liaise with authorities and regulatory bodies for licensing, name approvals, amendments, and compliance
- Ensure corporate structures comply with UAE laws and business requirements
- Draft and amend memorandum of association, article of association, POAs, shareholder resolution, board resolution
- Provide accurate and timely legal advice to senior management on corporate, commercial, and regulatory matters
- Advise on risk mitigation, legal exposures, and steps required for legal protection in transactions
- Ensure compliance with UAE Companies Law, Commercial Law, and related UAE federal and emirate level regulations
- Review, implement, and update corporate governance frameworks
- Support internal teams with legal interpretations and regulatory obligations
Requirements
- Qualified lawyer
- 3+ years PQE gained at a reputable international law firm within UAE
- Strong background across corporate law, Commercial Law and Real Estate related laws and regulations
- Exceptional legal drafting, negotiation, and analytical skills
- Fluent in English & Arabic
- Ability to work independently while collaborating effectively across multidisciplinary teams

About the Role
- The Legal Representative will support the company in all legal, corporate, and regulatory matters, including drafting and reviewing legal documents, advising management on compliance requirements, and ensuring adherence to UAE laws and real estate regulations.
- This role requires strong experience in corporate law, joint ventures, transaction support, and real estate related legal documentation.
- Fluency in both written and spoken Arabic is strictly mandatory for this position.

- Draft, review, and negotiate legal documents, including: Joint Venture agreements, Term sheets, Heads of Terms, Sales & Purchase Agreements (SPA), Loan Agreements, Shareholder Agreements, Memorandum of Association (MOA), Articles of Association (AOA), Share Transfer Agreements, Share Pledge Agreemen
- Manage and advise on company incorporation processes for UAE mainland and free zones.
- Liaise with authorities and regulatory bodies for licensing, name approvals, amendments, and compliance.
- Ensure corporate structures comply with UAE laws and business requirements.

- Preferable if they have UAE real estate laws, regulations, and compliance requirements knowledge.
Requirements
- Qualified lawyer.
- 3+ years PQE gained at a reputable international law firm within UAE
- Strong background across corporate law, Commercial Law and Real Estate related laws and regulations.
- Exceptional legal drafting, negotiation, and analytical skills.
- Candidates currently based in the GCC will be prioritised; however, strong overseas applicants are welcome.
- Ability to work independently while collaborating effectively across multidisciplinary teams.
- Fluent in English & Arabic
