About the Role
We are seeking a Legal Counsel to provide commercially focused legal support, primarily drafting, negotiating, and advising on commercial contracts for a UAE-based AI-powered SpaceTech company.

Responsibilities
- Draft, negotiate and finalize all forms of commercial agreement, including framework agreements, service and equipment procurement agreements, satellite capacity lease agreements, service provider agreements, consultancy contracts, agency type of arrangements, MOUs and NDAs
- Provide solutions driven, commercially focused and risk weighted advice in the best interests of the company
- Create bespoke contract language and tailor agreement provisions to satisfy internal and external client requirements
- Support internal clients in contract negotiations and modify contract terms, ensuring appropriate legal protection
- Advise internal clients on the appropriate interpretation of contractual rights and obligations under existing agreements or new provisions of law or regulation
- Draft and negotiate intercompany agreements to support group structure and intercompany trading and non trading arrangements
- Advise internal clients on compliance with applicable Space42 policies and procedures
- Provide legal assistance and advice on various legal issues like commercial contracts, dispute resolution, regulatory, employment, and governance
- Monitor and ensure compliance with national and international laws, regulations, and industry standards applicable to the space tech sector
- Liaise with specialized external legal counsel where engaged
Requirements
- Bachelor’s degree in law from an accredited institution
- A minimum of 6 years PQE
- Expertise in contract law
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts to non legal stakeholders
- Experience working in a highly regulated industry, such as aerospace, defense, or telecommunications
- Analytical and critical thinking skills with the ability to provide strategic legal solutions

- As Legal Counsel, you will play a key role in providing commercially focused legal support to the business, with a primary emphasis on drafting, negotiating, and advising on commercial contracts.

- Create bespoke contract language and tailor agreement provisions, with support from, or under the guidance of, senior legal team members where necessary, to satisfy internal and external client requirements and/or address special business situations.
- Support internal clients in contract negotiations and modify contract terms, ensuring appropriate legal protection for the company or, where necessary, risks are duly escalated to senior legal team members or the General Counsel (as appropriate).
- Advise internal clients on the appropriate interpretation of contractual rights and obligations under existing agreements or existing or proposed new provisions of law or regulation.
- Draft and negotiate intercompany agreements, as requested, to support an appropriate group structure and intercompany trading and non trading arrangements.
- Advise internal clients on the provisions of, and compliance with, applicable Space42 policies and procedures, assisting internal clients with internal compliance and sign off processes.
- Provide legal assistance and advice on various legal issues like commercial contracts, dispute resolution, regulatory, employment, and governance.
- Monitor and ensure compliance with national and international laws, regulations, and industry standards applicable to the space tech sector.
- Liaise with specialized external legal counsel, where engaged to advise on a matter. Perform other such tasks as required.
Qualifications
- Bachelor’s degree in law from an accredited institution.
- A minimum of 6 years PQE
- Expertise in contract law
- Intellectual property expertise is a plus
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts to non legal stakeholders.
- Experience working in a highly regulated industry, such as aerospace, defense, or telecommunications.
