Purpose
Work with the Group Chief Legal Officer on legal matters for the investment bank's business lines in the GCC and Frontier Markets.
Responsibilities
- Support the transactional and operational needs of investment banking, private equity, brokerage, and asset management teams.
- Review, draft, and negotiate documentation for equity and debt capital markets transactions, including IPOs and private placements.
- Handle engagement letters, underwriting agreements, share purchase agreements, offering circulars, comfort letters, and legal opinions.
- Review, draft, and negotiate corporate and banking documents including sale and purchase agreements, confidentiality agreements, mandate letters, escrow agreements, account opening forms, and custody terms.
- Manage external counsel as needed.
- Maintain legal databases for group entities and legal precedents.
- Research legal issues and evaluate risk factors.
- Comply with applicable AML and CTF rules and regulations.
- Complete AML and CTF training and respond promptly to AML, CTF, and sanctions inquiries.
Job Requirements
- Bachelor's degree in Law.
- Qualified to practice law in the UK and/or the US.
- At least 12 years of post-qualification experience in a top-tier international law firm.
- Solid experience in M&A and capital markets transactions.
- Strong drafting, negotiating, presentation, and communication skills.
- Excellent command of English.
- Ability to build partnerships, work in teams, solve problems, make timely decisions, and anticipate consequences.
- Ability to maintain high-quality deliverables under pressure with attention to detail and minimal supervision.
