Legal Counsel – Corporate & Commercial

Role Overview

Advisory

• Provide practical, business-oriented advice on corporate and commercial matters, contract interpretation, risk identification, and mitigation.
• Participate in internal and external meetings supporting negotiations and deal execution.
• Escalate high-risk and non-standard issues to the Head of Legal in a timely manner.
• Maintain knowledge of UAE legislation and conduct legal research on potential and current disputes.
• Conduct legal due diligence for mergers and acquisitions when required.

Contracts and Agreements

• Draft, review, and negotiate NDAs, letters and memoranda of understanding, joint ventures, supplier and customer contracts, and consultancy agreements.
• Handle procurement, banking, employment, and commercial addendum agreements as applicable.
• Maintain and improve Group templates, legal notices, constitutional documents, and other standard agreements.
• Draft legal memoranda and internal guidelines when required.

Automotive and Real Estate

• Support commercial agency and distribution documents, dealer and distributor arrangements, aftersales frameworks, fleet and tender contracts, and marketing collaborations.
• Identify risks involving exclusivity, territory, term, termination, indemnities, compliance, and regulatory requirements.
• Support sales and purchase agreements, long-term leases, Musataha, brokerage, property management, and facilities management agreements.
• Assist with real estate due diligence, conditions precedent, and closing deliverables under supervision.

Governance and Disputes

• Support board and shareholder resolutions, powers of attorney, KYC and account-opening documentation, signatory updates, and corporate records.
• Assist with delegation of authority workstreams, drafts, summaries, and action trackers.
• Liaise with Litigation on disputes and pre-litigation matters by preparing factual summaries and collating relevant documents.
• Track deadlines and obtain timely input from internal stakeholders while escalating material risks.

Qualifications, Skills and Experience

• Bachelor’s degree in law.
• 5–7 years of experience in commercial and corporate law practices.
• Exposure to UAE real estate and/or automotive commercial agencies is preferred.
• Prior in-house experience or experience in a family business or diversified group is desirable.
• Excellent command of written and spoken English and Arabic.
