Mark Williams Recruitment is partnering with a leading financial services entity to appoint a Head of Legal.
This is a senior leadership role responsible for the corporate legal function and strategic legal guidance across growth and investment activities.
The role reports directly to the Group General Counsel.
Key responsibilities
- Lead legal aspects of acquisitions, divestments, mergers, strategic investments, private equity transactions, and joint ventures.
- Structure and execute complex domestic and cross-border transactions.
- Manage due diligence, negotiations, documentation, signing, completion, and post-closing integration.
- Draft, review, and negotiate key transaction documents.
- Coordinate external counsel, financial advisers, and specialist consultants.
- Advise senior management on investments, acquisitions, restructurings, partnerships, holding companies, and expansion initiatives.
- Partner with finance, tax, investment, and business teams on transaction structures.
- Provide legal input on strategy, investment opportunities, and corporate development.
- Support capital deployment and the establishment of business entities and investment vehicles.
- Advise the Board and Executive Management on governance, directors' duties, and corporate compliance.
- Oversee governance frameworks and alignment with UAE regulations and international best practices.
- Manage board resolutions, shareholder matters, constitutional documents, delegated authorities, and governance across related entities.
Candidate profile
- 12+ years of post-qualification experience.
- Strong experience in a leading international law firm and/or a major corporate legal function.
- Proven experience advising on high-value M&A transactions, investments, and complex corporate matters.
- Experience managing cross-border transactions involving multiple jurisdictions.
- UAE and broader GCC experience is highly desirable.
- Experience advising executive committees, boards, family offices, investment companies, sovereign entities, or large corporate groups is preferred.
