Core Responsibilities

• Lead the review, drafting, redlining, and negotiation of MSAs, service agreements, Engineering, Procurement and Construction (EPC) agreements, Design-Build agreements , and other complex commercial contracts.
• Develop negotiation strategies that protect Pearce’s commercial, operational, and financial interests while supporting revenue, margin, and customer objectives.
• Evaluate contractual requirements associated with EPC and Design-Build projects , including scope, schedule, performance obligations, change management, payment milestones, warranties, and risk allocation.
• Identify contractual risks and develop practical solutions in partnership with Sales, Operations, Finance, Procurement, Safety, Billing, and other business stakeholders.
• Negotiate key commercial terms, including liability, indemnification, warranties, liquidated damages, SLAs, insurance, termination rights, payment terms and escalators, intellectual property, force majeure, and compliance requirements.
• Ensure compliance with Pearce’s delegation of authority and contract approval requirements.
• Develop risk-assessment standards and approval workflows for non-standard contract terms.
• Establish and maintain contract risk reporting, metrics, and performance measures.
