About the Role
Clyde & Co seeks a Company Secretarial Advisor to provide corporate secretarial and governance support to clients, focusing on free zone and offshore companies in ADGM, DIFC, JAFZ, and RAKICC.

Responsibilities
- Establish foundations, free zone and offshore companies in ADGM, DIFC, JAFZ, and RAKICC
- Prepare necessary supporting applications required under different governing regulations
- Advise on and assist with change of name, directors, general manager, activities, share transfers, registration of pledges, mortgages, etc.
- Prepare agendas and notices for and take minutes of board meetings and general meetings of shareholders
- Obtain certificates of tax residence and no objection letters from relevant government authorities
- Maintain statutory records, including Register of Members and Register of Directors and Secretaries
- Assist with annual licence and registration renewals
- Undertake company searches and make online applications
- Advise on filing requirements and compliance with UAE local laws and regulations
- Prepare and maintain corporate bibles, ensuring all relevant details are added/updated on relevant databases
- Oversee and advise on preparation of case registration forms, conduct conflict searches, collate and submit KYC documents
- Coordinate with Finance Department to prepare invoices and ensure timely collection of receivables
Requirements
- ICSA qualified
- Formal legal qualification (desirable)
- At least 3 4 years of company secretarial experience with knowledge of UAE offshore systems, DIFC and ADGM procedures
- Law firm experience desirable
- BluePrint, Oneworld or Viewpoint experience
- Good communication and interpersonal skills
- Experience in managing a client portfolio
- Client oriented with focus on quality and consistent service delivery
- Team oriented and able to work autonomously whilst being adaptable and flexible
- Exposed to working in different cultures
- Strong attention to detail and excellent organisational and time management skills
- Able to work to deadlines and under pressure

The Role
- To provide and increase the company secretarial and governance support we offer to our clients.
- To provide registered agent and Corporate Service Provider services to free zone and offshore companies and foundations registered in the ADGM, DIFC, JAFZ, and RAKICC.
- To help establish/implement systems, policies and precedents to ensure high standards of corporate governance.
Key Responsibilities
- Establishing foundations, free zone and offshore companies in the ADGM, DIFC, JAFZ, and RAKICC. Preparing the necessary supporting applications required under different governing regulations.
- Advising on and assisting with change of name, directors, general manager, activities, share transfers, registration of pledges, mortgages, etc for offshore companies, ADGM and DIFC companies and foundations.
- Preparing agendas and notices for and taking minutes of board meetings and general meetings of shareholders.

- Overseeing and advising on the preparation of case registration forms, conducting conflict searches, collating and submitting the necessary 'KYC' documents to the Firm’s Business Acceptance Unit (BAU), updating BAU with any material changes of existing clients, liaising with BAU for file opening and
- Coordinating with the Finance Department to prepare invoices, arrange for payment of invoices, keeping track of statements of account and ensuring the timely collection of receivables.
Candidate Requirements
- ICSA qualified; formal legal qualification (desirable);
- At least 3 4 years of company secretarial experience with knowledge of UAE offshore systems, DIFC and ADGM procedures; law firm experience desirable;
