- Draft, review, and negotiate mergers and acquisitions agreements, including purchase agreements, asset purchase agreements, and stock purchase agreements
- Conduct due diligence on target entities, identifying legal risks and liabilities
- Advise on corporate governance, compliance, and regulatory matters related to M&A transactions
- Coordinate with cross functional teams, including finance, tax, and operations, to facilitate transaction execution
- Ensure all transaction documentation adheres to legal standards and mitigates potential liabilities
Requirements
- Juris Doctor (JD) degree from an accredited law school
- Active membership in a state bar association
- Minimum of 3 years of experience in M&A transactions
- Strong understanding of corporate law, securities regulations, and contract drafting
- Experience with domestic and cross border M&A transactions
- Ability to analyze complex legal documents and identify critical issues
