Role Overview

  • A well established company in Saudi Arabia is seeking an experienced Legal Manager to join its Board Affairs & Legal function.
  • This is a senior, wide ranging role covering corporate legal matters, governance, compliance, and board administration.
  • The successful candidate will serve as the primary legal voice advising executive management and the board.

Legal Responsibilities

  • Draft, review and negotiate contracts, ensuring regulatory compliance
  • Conduct legal research, prepare memoranda, briefs and case documents
  • Manage litigation, attend court proceedings and maintain case files
  • Handle breach of contract reports and advise on remedial action
  • Support M&A activity and major projects with strategic legal input

Corporate Governance Responsibilities

  • Develop and maintain corporate governance policies and procedures
  • Oversee the Code of Conduct, Anti Fraud and Whistleblower frameworks
  • Lead compliance investigations in response to alleged violations
  • Deliver employee awareness and training on regulatory obligations
  • Provide quarterly governance updates to department heads and management

Board Affairs Responsibilities

  • Prepare agendas, supporting materials and minutes for board meetings
  • Plan and conduct the annual general assembly in line with regulatory requirements
  • Manage the board disclosure register in accordance with CMA and Companies Law
  • Coordinate between board members and ensure timely distribution of information
  • Support the board in setting and monitoring annual KPIs

About You

  • Law degree required; professional certification from a recognised body is advantageous
  • 6+ years of experience in a legal or governance role
  • Proven ability to research and analyse complex regulatory and business issues
  • Strong negotiation, leadership and stakeholder management skills
  • Organised and effective under pressure, with the ability to manage competing deadlines
  • STRONG English skills (spoken/written) is essential
