Job Summary
The Legal Counsel is responsible for drafting and reviewing legal documents, managing litigation and dispute resolution, advising on legal and regulatory compliance, and managing relationships with external counsel.
Administrative Responsibilities
Promote and monitor adherence to relevant policies, processes, and standard operating procedures in a controlled and consistent manner.
Develop and motivate subordinates to ensure transfer of know-how and maintain a positive work environment.
Monitor subordinates’ performance and provide formal and informal feedback and counseling to maximize efficiency.
Functional Responsibilities
Provide legal advice and counsel to internal stakeholders on a wide range of legal matters, including contracts, corporate governance, regulatory compliance, intellectual property, and employment law.
Draft, review, and negotiate contracts, agreements, and legal documents to ensure they meet legal requirements, protect the organization’s interests, and mitigate legal risks.
Conduct legal research and analysis on applicable laws, regulations, and industry standards to provide accurate and timely guidance and recommendations to the organization.
Assist with negotiations and following up with outside parties (e.g., governmental authorities, clients, corporations) on any legal issue relating to the business of the company.
Support corporate governance initiatives, including preparation of board and shareholder meeting materials, ensuring compliance with corporate governance requirements and maintaining corporate records.
Assist in managing legal disputes, including litigation, arbitration, and mediation processes, working closely with external counsel to develop strategies and achieve favorable outcomes.
Stay updated on changes in relevant laws, regulations, and industry practices, providing proactive advice and recommendations to senior management on legal implications and potential risks.
Provide legal support in mergers and acquisitions, due diligence processes, and other strategic transactions, identifying legal risks and opportunities, and assisting in the negotiation and execution of deals.
Assist in the development and implementation of legal policies, procedures, and compliance programs to ensure adherence to legal requirements and mitigate legal risks.
Collaborate with cross-functional teams, such as finance, HR, and operations, to provide legal support and guidance on various business initiatives, projects, and contracts.
Academic & Professional Qualifications
Bachelor’s degree in law or equivalent / similar qualification.
Experience
Minimum 10 years of experience in law or a similar field.
Skills And Requirements
Strong knowledge of local laws and regulations, preferably in the IT industry.
Excellent communication and negotiation skills.
Ability to deliver and drive execution under challenging circumstances and deadlines.
Adept in using MS Office (e.g., Word, Excel, and Outlook).
Fluency in English & Arabic language is a must.
