Role Overview
Conduct legal due diligence for mergers and acquisitions transactions.
Focus on commercial contracts and transactional documentation.
Review and analyze contracts to identify risks, liabilities, and compliance issues.
Key Responsibilities
- Review service agreements, licensing agreements, supply contracts, and other commercial contracts for M&A diligence.
- Identify and assess material risks, liabilities, and compliance issues in transactional documentation.
- Prepare diligence reports summarizing findings and recommendations for legal and business stakeholders.
- Collaborate with legal, finance, and business teams to address diligence findings and support deal execution.
- Ensure adherence to legal and regulatory requirements throughout the diligence process.
Required Skills and Qualifications
- Licensed attorney with experience in commercial contracts and M&A transactions.
- Strong analytical skills for reviewing complex legal documents and identifying key risks.
- Experience conducting M&A due diligence or similar transactional work.
- Proficiency in legal research tools and contract management systems.
- Excellent written and verbal communication skills.
Compensation and Job Type
- Contract position.
- Compensation is $90 to $100 per hour.
Workplace
- Remote position with work-from-anywhere location flexibility.
