Job Purpose

  • Provide legal, regulatory and corporate governance advice to Alcazar Energy and its assets and subsidiaries
  • Ensure compliance with defined legal framework and protect interests of Alcazar Energy
  • Contribute to development of legal and regulatory strategy
  • Develop, review and/or negotiate agreements, contracts and relevant legal documentation

Responsibilities

  • Support in provision of legal advice including transactional support, drafting/reviewing documents, and supporting negotiations
  • Assist in drafting and reviewing agreements and contracts, assessing legal and regulatory risks
  • Provide legal advice to corporate and business teams, partnering with transaction teams
  • Support corporate workstreams: company secretarial administration, board packs, resolutions, POAs, corporate registers, KYC requests, statutory filings
  • Provide legal support on acquisitions and investment transactions including due diligence, drafting, negotiation, and coordination with local counsel
  • Lead day to day legal support for development and execution projects including drafting and negotiation of project agreements
  • Provide legal support to Delivery & Operations team on contractual and commercial legal matters
  • Support fund operations including acquisitions, disposals, and internal portfolio transactions
  • Address legal and other related risks, identify and assess risks, develop mitigation strategies
  • Provide expert advice on drafting and negotiating agreements and contracts
  • Support with litigations and business advice, assist in preparation of litigation or court proceedings
  • Assist external counsel management and review output

Preferred Qualifications

  • Bachelor's degree in law from an internationally reputable university
  • Admission to practice in the UAE or an internationally recognized jurisdiction

Job Specific Skills

  • Strong theoretical legal knowledge
  • Basic knowledge of legal, legislative and regulatory environment of relevant geographic markets locally and globally as related to renewables
  • Good knowledge of UAE's laws, regulations, and legal reporting standards
  • Knowledge of contracts pre assessment, negotiation, formulation, and management
  • Ability to lead negotiations related to familiar issues and matters with guidance from senior team members
  • Ability to clearly justify legal position and form legal arguments
  • Strong research skills and ability to gather and assess the right information
  • A practical, hands on disposition; happy to be the person doing the work rather than reviewing or commissioning it from advisors
